Account Creation

To access certain services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Service Availability

Services are subject to availability of advertising inventory and technical capacity. We will make reasonable efforts to fulfill service requests but cannot guarantee specific placements or timing.

Campaign Modifications

Changes to active campaigns may be subject to additional fees and technical limitations. We will work with you to accommodate reasonable modification requests within operational constraints.

Payment Obligations

• All fees are due and payable according to the payment schedule outlined in your service agreement
• Prices are exclusive of applicable taxes, which you are responsible for paying
• Late payments may incur additional fees and service interruptions

You retain ownership of content you provide for advertising campaigns, subject to the license granted to us for service delivery purposes.

License to It's Spotlight

By providing content for campaigns, you grant It's Spotlight a non-exclusive, worldwide, royaltyfree license to use, reproduce, modify, and display your content solely for the purpose of delivering advertising services.

Third-Party Rights

You are responsible for ensuring that all content provided does not infringe upon third-party intellectual property rights. We reserve the right to remove content that may violate intellectual property rights.

All advertising content is subject to review and approval by It's Spotlight. We reserve the right to reject content that violates these guidelines or applicable laws.

Content Standards

Content must comply with:

• Indian advertising standards and regulations
• Local venue and property owner requirements
• Technical specifications for digital display formats
• Accessibility guidelines where applicable

AI Technology Disclosure

Our services utilize artificial intelligence and machine learning technologies for content optimization, audience targeting, and campaign performance enhancement.

Data Processing for AI

We process anonymized and aggregated data to improve AI algorithms and service delivery. This includes:

• Audience Analytics: Demographic and behavioral insights
• Performance Optimization: Campaign effectiveness analysis
• Predictive Modeling: Forecasting and trend analysis
• Content Personalization: Dynamic content adaptation

Transparency and Fairness

We are committed to responsible AI usage and will:

• Maintain transparency about AI-driven decisions affecting your campaigns
• Implement bias mitigation measures in our algorithms
• Provide human oversight of automated processes
• Respect privacy and data protection in all AI applications

Acceptable Use

You may use our platform only for lawful advertising purposes in accordance with these Terms and applicable laws.

Prohibited Activities

You agree not to:

• System Interference: Attempt to disrupt, disable, or overburden our systems
• Unauthorized Access: Access systems or data without authorization
• Reverse Engineering: Attempt to reverse engineer or copy our technology
• Data Mining: Extract data from our systems without permission
• Fraudulent Activity: Engage in any fraudulent or deceptive practices
• Malware Distribution: Introduce viruses, malware, or harmful code

Security Compliance

You must comply with all security requirements and access controls implemented by It's Spotlight.

Content Provision

• Provide accurate, high-quality content that meets technical specifications
• Ensure all content complies with applicable laws and regulations
• Obtain necessary rights and permissions for content usage
• Provide content within agreed timelines to avoid campaign delays

Legal Compliance

• Comply with all applicable advertising laws and regulations
• Obtain required licenses and permits for advertising activities
• Ensure content does not violate third-party rights
• Maintain appropriate insurance coverage as required

Display Performance

We commit to achieving at least 95% uptime for digital displays, subject to maintenance windows and force majeure events.

Campaign Delivery

• Guaranteed Impressions: Delivery of at least 95% of contracted impressions for guaranteed campaigns
• Timely Launch: Campaigns will commence within agreed timelines, subject to content approval and technical readiness
• Performance Reporting: Regular reporting on campaign performance and metrics

Support Services

• Customer Support: Business hours support through multiple communication channels
• Technical Support: Assistance with platform usage and technical issues
• Account Management: Dedicated support for campaign planning and optimization

Service Credits

In the event of service level failures, you may be eligible for service credits as specified in your service agreement.

General Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT'S SPOTLIGHT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO IT'S SPOTLIGHT IN THE 12 MONTHS PRECEDING THE CLAIM.

Excluded Damages

IT'S SPOTLIGHT SHALL NOT BE LIABLE FOR:

• Indirect Damages: Consequential, incidental, or punitive damages
• Business Losses: Lost profits, revenue, or business opportunities
• Data Loss: Loss of data or information
• Third-Party Claims: Claims arising from third-party actions or content

Service Limitations

Our liability for service interruptions is limited to service credits as specified in your service agreement. We do not guarantee uninterrupted service availability.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures of third-party systems.

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless It's Spotlight from claims arising from:

• Your breach of these Terms or applicable laws
• Infringement of third-party rights by your content
• Your negligent or wrongful acts
• Violation of advertising regulations or standards

Process and Cooperation

We will promptly notify you of any claims subject to indemnification and cooperate in the defense. You may not settle claims without our prior written consent.

Limitations

Your indemnification obligations are subject to your receipt of prompt notice and cooperation from It's Spotlight in the defense of claims.

Termination Rights

Either party may terminate services:

• For Convenience: With 30 days' written notice
• For Cause: Immediately upon material breach that remains uncured after 15 days' notice
• For Insolvency: Upon bankruptcy or insolvency proceedings

Effect of Termination

Upon termination:

• All payment obligations for services rendered become immediately due
• Access to our platform and services will be discontinued
• Data and content may be deleted according to our data retention policies
• Surviving provisions will remain in effect

Survival

Provisions related to payment, intellectual property, indemnification, and limitation of liability survive termination.

Negotiation

Disputes should first be addressed through good faith negotiation between the parties.

Jurisdiction and Governing Law

These Terms are governed by Indian law, and disputes are subject to the jurisdiction of courts in Mohali, Punjab, India.

Alternative Dispute Resolution

For disputes exceeding ₹5,00,000, the parties may agree to resolve disputes through arbitration under the Arbitration and Conciliation Act, 2015.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between the parties.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations with reasonable notice.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Electronic Communications

You consent to receive communications from us electronically, including through email and platform notifications.
